Terms of Service

The terms and conditions that govern every project engagement, deliverable, and business relationship between Iskrena Technologies and its clients.

These Terms of Service (“Terms”) form the legal agreement between Iskrena Technologies LLC (“Iskrena”, “we”, “us”) and any individual or entity (“Client”, “you”) that uses our website or engages us for services. By accessing iskrenatech.com or commissioning a project, you agree to these Terms in full. If you do not agree, please do not use our website or services.

1. Definitions

"Services"

Web design and development services offered by Iskrena, including Website, Webshop, and WebApp deliverables as described on iskrenatech.com/services.

"Project"

A specific engagement agreed in writing between Iskrena and the Client, with defined scope, timeline, and commercial terms.

"Deliverables"

All work product produced by Iskrena under a Project, including design files, source code, deployed applications, documentation, and repositories.

"Scope"

The agreed specification of a Project, as defined in a written brief, proposal, or statement of work exchanged between the parties.

"Strategy Call"

A 30-minute pre-engagement consultation offered at no charge, conducted via Calendly, used to define project requirements before a formal engagement begins.

"GitHub Repository"

The version-controlled codebase containing all source code for the Deliverables, transferred to the Client upon final payment.

2. Our Services

Iskrena Technologies provides custom digital platform development for small and medium-sized businesses. Our three primary service offerings are:

Website

A brand-aligned, custom-designed website including domain registration, hosting, SSL, SEO architecture, copywriting, and third-party integrations. Delivered within 21 calendar days.

Webshop

A custom e-commerce platform with product catalogue, Stripe payment processing, order management, a built-in CRM module, and full backend infrastructure. Delivered within 21 calendar days.

WebApp

A full-stack custom web application including UX design, frontend, backend, database, authentication, CRM module, and a clickable prototype. The most comprehensive service offering. Delivered within 21 calendar days.

The precise scope of any individual Project is defined in the written brief or proposal confirmed between the parties at the start of engagement.

3. Project Engagement

3.1 Strategy Call

All Projects begin with a no-obligation 30-minute Strategy Call. During this call, Iskrena maps project requirements, discusses scope, integrations, and timeline. The Strategy Call does not constitute a binding agreement.

3.2 Project Confirmation

A Project is formally engaged when: (a) a written scope has been agreed between both parties by email or signed document; and (b) the agreed deposit payment has been received by Iskrena. Work does not begin until both conditions are met.

3.3 Communication

Primary project communication is conducted by email. Iskrena will acknowledge receipt of all messages within one business day (Monday–Friday, 09:00–18:00 EET, excluding Bulgarian public holidays). Weekly progress check-ins are included in all Projects.

3.4 Staging Environment

Iskrena provides access to a staging URL during development for the Client to review progress. Feedback provided on staging builds is incorporated according to the agreed change process outlined in Section 4.

4. Scope & Deliverables

4.1 Fixed scope

The scope of each Project is fixed at confirmation. What is agreed and quoted is what is built. Iskrena does not charge for minor clarifications or adjustments that fall within the agreed scope.

4.2 Scope changes

Requests to add functionality, pages, or integrations that were not included in the original agreed scope are treated as change requests. Iskrena will provide a written cost and timeline estimate for any change request before work proceeds. The Client may accept or decline any change request without penalty.

4.3 Wireframe approval

For all Projects, Iskrena delivers a full sitemap and wireframe for Client approval before development begins. Changes to structure, layout, or core user flows are made at the wireframe stage at no additional cost. Structural changes requested after wireframe approval are treated as change requests.

4.4 21-day timeline

The 21-day delivery timeline runs from the date the Project is formally engaged (deposit received and scope confirmed). The timeline assumes timely provision of required materials by the Client (see Section 7). Delays caused by Client unavailability or late provision of materials will extend the timeline commensurately.

4.5 Handover deliverables

Upon final payment, Iskrena transfers: the GitHub repository containing all source code; deployment access or credentials; DNS configuration records; and a recorded handover session. All third-party service accounts (domain registrar, hosting, Stripe, Supabase) are either registered in the Client's name from the outset or transferred to the Client at handover.

5. Payment Terms

5.1 Fee structure

Iskrena operates on a fixed-fee model. The full project fee is agreed and confirmed in writing before work begins. No hourly billing applies unless explicitly agreed in writing for a specific engagement.

5.2 Payment schedule

5.3 Payment methods

Iskrena accepts payment via bank transfer (IBAN) and Stripe (credit/debit card). Payment instructions are included on each invoice. Invoices are issued in Euros (EUR) unless otherwise agreed.

5.4 Late payment

Invoices are due within 7 calendar days of issuance unless otherwise agreed in writing. Overdue amounts accrue interest at the Bulgarian statutory rate (currently the base rate of the Bulgarian National Bank plus 10 percentage points per annum) from the due date. Iskrena reserves the right to suspend active work on a Project where payment is overdue by more than 14 days.

5.5 Refunds

The deposit payment is non-refundable once work has commenced. “Work commenced” is defined as the delivery of wireframes or any written strategy document. If Iskrena cancels a Project before work commences, the deposit will be refunded in full within 14 business days. For partial work completed at the time of Client-initiated cancellation, Iskrena will invoice for work completed at a pro-rated fee against the agreed total.

6. Intellectual Property & Code Ownership

6.1 Transfer of ownership

Upon receipt of final payment in full, Iskrena assigns to the Client full ownership of all Deliverables produced under the Project, including all source code, design files, written copy, and associated documentation. This assignment is irrevocable and worldwide.

6.2 Open-source components

Deliverables are built using open-source frameworks and libraries (including Next.js, Tailwind CSS, Supabase client libraries, and others). These components are governed by their respective open-source licences (principally MIT and Apache 2.0). The Client receives the same rights over the complete codebase as permitted under those licences. Iskrena does not introduce open-source components with licence terms incompatible with commercial use.

6.3 Iskrena portfolio rights

Unless the Client requests otherwise in writing, Iskrena retains the right to display the completed Project in its portfolio, case study materials, and marketing communications. No confidential business information or unpublished content will be disclosed without prior consent.

6.4 Client-provided materials

The Client warrants that all materials provided to Iskrena for incorporation into the Deliverables (including brand assets, logos, images, text, and data) are owned by or properly licensed to the Client. The Client indemnifies Iskrena against any third-party intellectual property claims arising from Client-provided materials.

6.5 Pre-existing Iskrena IP

Any internal tools, frameworks, or code libraries developed by Iskrena prior to or independently of the Client's Project remain the property of Iskrena. Where such pre-existing IP is incorporated into Deliverables, Iskrena grants the Client a perpetual, royalty-free, non-exclusive licence to use it as part of the Deliverables.

7. Client Obligations

To allow Iskrena to deliver within the agreed timeline and to the agreed standard, the Client agrees to:

Provide all required brand assets (logo files, colour codes, fonts) within 3 business days of project confirmation.

Provide all required written content, product descriptions, images, and copy unless copywriting is explicitly included in the Project scope.

Designate a single primary contact person who is empowered to approve wireframes, designs, and content on behalf of the Client.

Respond to review requests and requests for information within 3 business days. Extended delays may result in a revised project timeline.

Provide any required third-party access credentials (e.g. existing domain registrar, social media accounts) promptly upon request.

Review and approve the wireframe before development begins. Approval may be given in writing by email.

Test all delivered functionality on the staging environment and communicate feedback before go-live.

8. Quality Assurance

Iskrena conducts internal quality assurance on all Deliverables before presenting them for Client review. Our QA process covers: cross-browser compatibility (Chrome, Firefox, Safari, Edge); mobile-first responsive layout (320px to 1920px viewport); all form submissions and third-party integrations; page load performance; and for Webshops, end-to-end payment and order management flows.

Iskrena warrants that Deliverables will be free from material defects in code and functionality at the time of handover. For a period of 30 days following go-live, Iskrena will remedy any defects that were present at handover at no additional charge. This warranty does not cover issues arising from Client modifications, third-party service outages, or changes to the Client's hosting environment.

9. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with a Project (“Confidential Information”), and not to disclose it to third parties without prior written consent. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law or court order, provided prompt notice is given to the disclosing party where legally permissible.

Obligations of confidentiality survive termination of a Project for a period of 3 years.

10. Limitation of Liability

10.1 Cap on liability

To the maximum extent permitted by applicable law, Iskrena's total liability to the Client arising out of or in connection with any Project or these Terms shall not exceed the total fees paid by the Client for that specific Project.

10.2 Exclusion of consequential losses

Iskrena shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits; loss of revenue; loss of data; loss of goodwill; business interruption; or the cost of substitute services — even if Iskrena has been advised of the possibility of such damages.

10.3 Third-party services

Iskrena integrates third-party services (Stripe, Supabase, Calendly, Vercel, and others) into Deliverables. Iskrena is not liable for downtime, data loss, pricing changes, or service discontinuation by third-party providers. The Client is responsible for maintaining their own accounts and agreements with third-party services once the Project is handed over.

10.4 Force majeure

Neither party shall be liable for failure to perform obligations where such failure results from circumstances beyond their reasonable control, including natural disasters, government actions, internet outages, or third-party service failures. The affected party shall notify the other promptly and use reasonable efforts to mitigate the impact.

11. Warranties & Disclaimers

Iskrena warrants that: (a) it has the right to enter into these Terms and perform the Services; (b) the Services will be performed with reasonable care and skill; and (c) the Deliverables will be original work and will not knowingly infringe any third-party intellectual property rights.

The iskrenatech.com website is provided “as is” for informational purposes. Iskrena makes no warranty that the website will be uninterrupted or error-free. Iskrena does not warrant the accuracy or completeness of any information on the website, including but not limited to pricing, timelines, or service descriptions, which may change without notice.

Nothing in these Terms limits or excludes liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be limited or excluded under applicable law.

12. Termination

12.1 Termination by Client

The Client may terminate a Project at any time by written notice to Iskrena. Upon termination, Iskrena will invoice for all work completed to date on a pro-rated basis against the total agreed fee. Work product completed to date will be delivered to the Client upon receipt of the pro-rated invoice. The deposit is non-refundable once work has commenced.

12.2 Termination by Iskrena

Iskrena may terminate a Project with immediate effect by written notice if: (a) the Client fails to make a payment that is more than 21 days overdue; (b) the Client commits a material breach of these Terms that is not remedied within 14 days of written notice; or (c) the Client requests work that would require Iskrena to infringe applicable law or third-party rights. In such cases, Iskrena will invoice for work completed to date.

12.3 Effect of termination

Sections 6 (Intellectual Property), 9 (Confidentiality), 10 (Limitation of Liability), and 13 (Governing Law) survive termination of any Project or these Terms.

13. Governing Law & Dispute Resolution

These Terms and any disputes arising from them are governed by and construed in accordance with the laws of the Republic of Bulgaria, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

The parties agree that the competent courts of Sofia, Bulgaria shall have exclusive jurisdiction over any disputes that cannot be resolved amicably. Before commencing legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days following written notice of the dispute.

Nothing in this section prevents either party from seeking urgent interim relief from any court of competent jurisdiction.

14. Changes to These Terms

Iskrena may update these Terms from time to time to reflect changes in our practices, legal requirements, or services. The updated Terms will be published at iskrenatech.com/terms with a revised “Last Updated” date.

For existing Projects in progress at the time of any material change, the Terms in effect at the date of Project confirmation will continue to apply for the duration of that Project unless both parties expressly agree in writing to adopt the revised Terms.

For new Projects confirmed after the revised Terms are published, the new Terms apply from the date of confirmation.
